Terms & Conditions

Last updated: September 4, 2026

Article 1: Applicability

These terms and conditions apply to all quotes, agreements and work carried out by Oddbird, based in the Netherlands (Chamber of Commerce number: 93231601), hereinafter "Oddbird", "we" or "us". They apply to every client we enter into an agreement with, unless we agree otherwise in writing.

Article 2: Quotes and formation of the agreement

All our quotes and proposals are non-binding and valid for 30 days, unless stated otherwise. An agreement is formed once the client accepts a quote or proposal in writing (including by email), or once Oddbird has started work on the client's instruction.

Article 3: Execution of the engagement

Oddbird carries out the engagement to the best of its knowledge and ability, on a best-efforts basis, unless a specific result has been explicitly agreed. Timelines are indicative unless the parties have explicitly agreed on a binding deadline in writing.

Article 4: Changes and additional work

Changes to the engagement requested by the client may result in additional work. This is billed separately, after prior consultation, at the rates applicable at that time.

Article 5: Rates and payment

All rates stated are excl. VAT. Invoices must be paid within 14 days of the invoice date. If this term is exceeded, the client is in default by operation of law and Oddbird is entitled to charge statutory commercial interest and reasonable collection costs, and to suspend work until payment is received. Ad spend is never included in our rates and is paid directly by the client to the relevant platform.

Article 6: Term, renewal and termination

One-off engagements (such as the Findability Scan and Foundation) end by operation of law upon delivery. Monthly packages (Growth and Authority) start with a minimum commitment of one quarter. After that quarter, the agreement is cancellable monthly, with one month's notice, unless agreed otherwise in writing. Notice must be given in writing; an email to info@oddbird.nl suffices.

Article 7: Client cooperation and delivery of materials

Proper execution of the engagement requires timely delivery of information, materials (such as footage for videos, unless a standalone Content Day has been booked for this) and access to relevant platforms and accounts. Delays caused by late delivery of these are at the client's expense.

Article 8: Intellectual property

All concepts, designs, copy, strategies and other work developed by Oddbird remain Oddbird's property until payment has been made in full. After that, the right of use transfers to the client for the agreed purpose. Concepts that were not selected, early drafts and intermediate versions remain Oddbird's property at all times.

Article 9: Confidentiality

Both parties treat confidential information received from each other in the context of the engagement as confidential, and do not share it with third parties, unless necessary for the execution of the engagement or required by law.

Article 10: Liability

Oddbird's liability is limited to the amount paid out under our liability insurance in the case in question. If no payout is made, liability is limited to the invoiced amount over the three months preceding the event that caused the damage. Oddbird is never liable for indirect damages, including lost revenue or profit. Results from advertising, SEO and GEO partly depend on external factors beyond Oddbird's control, such as changes to the algorithms of platforms like Google, Meta or AI search engines; no guaranteed results can therefore be attached to these, unless explicitly agreed otherwise in writing.

Article 11: Force majeure

In the event of force majeure, including outages at external platforms, internet disruptions or other circumstances beyond Oddbird's control, our obligations are suspended for the duration of the situation.

Article 12: Complaints

Complaints about the execution of the engagement must be reported to Oddbird as soon as possible, and no later than 14 days after discovery, in writing and with reasons, via info@oddbird.nl. A complaint does not suspend the obligation to pay.

Article 13: Governing law and disputes

Dutch law applies to all agreements with Oddbird. We prefer to resolve disputes through mutual consultation. If parties do not reach an agreement, the competent court in the district where Oddbird is based has jurisdiction, unless mandatory law provides otherwise.

Article 14: Final provisions

Should any provision of these terms prove void or voidable, the remaining provisions remain fully in effect. Oddbird may amend these terms from time to time; the most current version is always available on this page.
